Terms of Use for Clinical Wallet

You (the individual or entity accepting this Agreement) agree to access and use Clinical Wallet (the Application) on the terms of this Agreement between you and Vestigo Health Solutions, LLC and any affiliates. Access to or use of the Application signifies your acceptance of the following terms and conditions. Please carefully review this Agreement before clicking the relevant check box on the registration form. If you do not wish to accept this Agreement, do not proceed with the registration of the Clinical Wallet Application or Desktop access.
1. License Grant
Vestigo Health Solutions (“Vestigo” or “Clinical Wallet”) grants you a revocable, nonexclusive, nontransferable, limited license to install and use the Application on a Single Mobile Device owned and controlled by you solely by the registered user for your personal, noncommercial, educational purposes strictly in accordance with the terms of this Agreement. (Collectively “related agreements”)
2. Restrictions
Individual User cannot Install, use, or permit the application to exist on more than (1) mobile device at a time. User may not use any Vestigo proprietary information or other intellectual property, and you will not permit others to license, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Application or make the Application available to any third party. User may not make any modification, adaptation, improvement, enhancement, translation or derivative work” may not be done to the app by the user, and a user cannot “decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the Application.
3. Password Use and Security
You must not reveal your password and must take reasonable steps to keep your password confidential and secure. You agree to immediately notify Vestigo Health Solutions if you become aware of or have reason to believe that there is any unauthorized use of your password or account or any other breach of security. Vestigo Health Solutions is in no way liable for any claims or losses related to the use or misuse of your password or account due to the activities of any third party outside of our control or due to your failure to maintain their confidentiality and security.
4. Consent to Use of Data
You agree that Vestigo Health Solutions may collect and use technical data and related information, including but not limited to technical information about your mobile device that is gathered periodically to facilitate the provision of updates, support, enhancements, and other services to You (if any) related to the Application. Vestigo Health Solutions may use this information, as long as it is in a form that does not personally identify you, to improve its products or to provide services or technologies to you.
5. Infringement
if the infringement takes place, the user will be held responsible for legal issues arising from the infringement.
6. Modifications to Application
Vestigo Health Solutions reserves the right to modify, suspend or discontinue, temporarily or permanently, the Application or any service to which it connects, with or without notice and without liability to you. The Modifications to Application section is for apps that will be updated or regularly maintained via Apple App Store and Google Play.
7. Term and Termination
This Agreement shall remain in effect until terminated by you or Vestigo Health Solutions. Vestigo Health Solutions may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice.
This Agreement will terminate immediately, without prior notice from Vestigo Health Solutions, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the Application and all copies thereof from your mobile device or from your desktop. Upon termination of this Agreement, you shall cease all use of the Application and delete all copies of the Application from your mobile device or from your desktop.
8. Disclaimer/Limitations of Warranties:
Clinical Wallet App “As Is” and “as available” and company is not responsible for improving the software or app to satisfy the end user. Use is at sole discretion and software may not meet all requirements. (specifically that we cannot be held responsible for student’s success in education program)
9. Limitation of Liability
If User’s phone malfunctions and breaks, the user cannot seek liability against Vestigo or affiliates for reparations for the damaged phone. Aggregate liability will not exceed annual subscription cost of Clinical Wallet access or $39 USD.
This application and the information, names, images, pictures, logos and icons relating to Clinical Wallet, is provided "as is" and on an "as available" basis without any representation or endorsement being made and without warranty of any kind, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy. To the maximum extent permitted by law, you expressly acknowledge and agree that the use of the Application is at your sole risk and that the entire risk as to satisfactory quality, performance, accuracy, and effort is with you.
10. Severability
If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
11. Amendments to this Agreement
Vestigo Health Solutions or affiliates reserve the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. 12. Governing Law
Any claim relating to the mobile App or website shall be governed by the laws of the State of Arizona without regard to its conflict of law provisions.
